did you guys by any chance go near the cam covers or touched the timing belts, etc?

Nope. Just tried the replacement key and tried getting it off sleep mode. It didnt work. :-(

Jus got it towed to Subaru Melville 2day. Told the guys there Mike about the problem same guy who tried 2 help me start the car thru the phone, great guy. He said it is most likely the brant system. So hope thats the problem n it will start after a reflash of the system.
